Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Web3county Limited, a company registered in England and Wales ("Volt Terminal", "we", "us", or "our"), governing your access to and use of the Volt Terminal mobile application and website at voltterminal.com (collectively, the "Service").

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.


2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • Your use of the Service does not violate any applicable law or regulation in your jurisdiction.
  • You are not located in, or acting on behalf of a person or entity in, a country subject to applicable UK, EU, or UN sanctions.

We reserve the right to refuse access to any person at our sole discretion.


3. What the Service Is

Volt Terminal is a software-as-a-service (SaaS) platform that enables you to deploy, configure, and manage automated trading terminal instances ("terminals") on blockchain networks. Each terminal is a bot instance accessible through one or more supported messaging and web platforms (currently Telegram; Discord and Web access are planned). The Service provides:

  • A mobile application for creating and managing your terminal instances.
  • Infrastructure hosting for terminals on shared or dedicated servers, depending on your plan.
  • A billing and subscription management system.
  • A referral programme.

The platforms through which your terminal is accessible (e.g. Telegram, Discord, Web) are determined by the terminal type you select at creation. Platform availability may change over time as new integrations are released or existing ones are updated.

Volt Terminal is a technology infrastructure provider. We are not a financial services provider, investment adviser, broker, exchange, or money transmitter. The terminals you deploy through the Service interact with decentralised protocols (such as Jupiter and 0x) on behalf of your users. We do not custody user funds, execute trades as a financial intermediary, or provide investment advice.


4. Accounts

4.1 Registration

To use the Service, you must create an account with a valid email address and password. You must also set a 6-digit PIN for app security purposes.

4.2 Account Security

You are responsible for:

  • Keeping your password, PIN, and any platform credentials (such as bot tokens or API keys) you provide to the Service confidential.
  • All activity that occurs under your account.
  • Notifying us immediately at info@voltterminal.com if you suspect unauthorised access to your account.

We are not liable for any loss arising from unauthorised use of your account where you have failed to take reasonable security precautions.

4.3 Accurate Information

You agree to provide accurate, current, and complete information when registering and to keep your account information up to date.

4.4 One Account Per Person

You may not create multiple accounts or share your account with others. We reserve the right to merge or terminate duplicate accounts.


5. Terminal Instances

5.1 Your Responsibility

When you deploy a terminal, you are creating an automated trading instance that operates under credentials you own and control (such as a bot token or API key for the relevant platform). You are solely responsible for:

  • Complying with the terms of service and developer policies of any platform your terminal connects to (e.g. Telegram, Discord).
  • Ensuring your terminal complies with applicable laws in your jurisdiction and the jurisdictions of your terminal's users.
  • The content, behaviour, and operation of your terminal and all interactions it facilitates.
  • Maintaining and securing all credentials you provide to the Service.

5.2 No Guarantee of Uptime

We endeavour to provide reliable infrastructure but do not guarantee 100% uptime. Free tier terminals may be subject to hibernation after periods of inactivity. Scheduled maintenance may cause temporary interruptions. We are not liable for losses arising from terminal downtime.

5.3 Terminal Deletion

Deleting a terminal is permanent and irreversible. All associated data, including user records for that terminal, will be deleted. We are not responsible for any losses arising from accidental terminal deletion.


6. Subscriptions and Billing

Subscription pricing, billing intervals, cancellation, and refund terms are governed by the Subscription & Billing Policy, which forms part of these Terms and is incorporated here by reference. By subscribing, you agree to that policy in full.

A summary:

  • Free plan: no charge.
  • Paid plans (Basic, Pro, Business): charged monthly or annually via Stripe.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • All fees are non-refundable except as set out in the Billing Policy.

7. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which forms part of these Terms and is incorporated here by reference. You agree not to use the Service for any purpose that violates that policy, including but not limited to market manipulation, fraud, spam, or any illegal activity.


8. Intellectual Property

8.1 Our IP

The Service, including its source code, design, trademarks, and all content we create, is owned by Web3county Limited and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended purpose and in accordance with these Terms.

8.2 Your Content

You retain ownership of any configuration, credentials, or data you provide to the Service. By providing such data, you grant us a limited licence to process and store it solely to provide the Service to you.

8.3 Restrictions

You must not:

  • Copy, modify, distribute, sell, or lease any part of the Service.
  • Reverse engineer or attempt to extract the source code of the Service.
  • Use the Service to build a competing product.
  • Remove or obscure any proprietary notices or labels.

9. Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms and is incorporated here by reference.


10. Third-Party Services

The Service integrates with third-party platforms and protocols including Telegram, Discord, Stripe, DigitalOcean, Cloudflare, Jupiter, and 0x. Your use of those services is subject to their own terms and policies. We are not responsible for the conduct, availability, or reliability of any third-party service.

Decentralised protocols (Jupiter, 0x) are permissionless and autonomous. Trades executed through your terminal interact directly with these protocols on-chain. We do not control or guarantee the outcome of any on-chain transaction.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Any terminal will execute trades at expected prices or without slippage, failed transactions, or network errors.
  • Blockchain networks or third-party protocols will operate as expected.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including the Consumer Rights Act 2015 where applicable).


12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill.
  • Our total aggregate liability to you for any claim arising out of or related to the Service will not exceed the greater of: (a) the total fees you paid to us in the 3 months preceding the claim, or (b) £100 GBP.

These limitations apply regardless of the form of action and even if we have been advised of the possibility of such damages.


13. Indemnification

You agree to indemnify and hold harmless Web3county Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • The operation of your terminal or the actions of your terminal's users.
  • Your violation of any applicable law or third-party rights.

14. Termination

14.1 By You

You may terminate your account at any time via Settings → Delete Account in the app.

14.2 By Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe:

  • You have violated these Terms or the Acceptable Use Policy.
  • Your use of the Service poses a security risk or legal liability.
  • Required by law or regulation.

14.3 Effect of Termination

Upon termination:

  • Your access to the Service ceases immediately.
  • All your terminals are deprovisioned and deleted.
  • Accrued payment obligations (if any) survive termination.
  • Provisions of these Terms that by their nature should survive (including Sections 8, 11, 12, 13, 15, 16) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer located in the European Union, you may also have the right to bring proceedings in the courts of your country of habitual residence.


16. General

  • Entire agreement: These Terms, together with the Privacy Policy, Subscription & Billing Policy, Referral Programme Terms, and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
  • No waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
  • Notices: Legal notices to us must be sent to info@voltterminal.com.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date. For material changes, we will notify you via push notification or email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
